Purpose of Job
The Senior Legal Officer reports to the Deputy Director, Africa CDC and technically to the African Union Office of Legal Council (AU-OLC). Working in close collaboration with the AU-OLC, the incumbent shall provide legal advisory services to staff of the Africa CDC Secretariat, Regional Collaborating Centres (RCC) and National Public Health Institutes (NPHI)
Main Functions
• Provide technical support in the preparation and implementation of programmes developed out of Africa CDC’s strategic plan
• Ensure effective coordination and implementation at various levels
• Liaise with Member States, Regional Economic Communities (RECs), and other stakeholders on relevant matters
• Prepare and develop reports, budget and work programmes related to the functioning of the Office
• Provide technical support for the development of resource mobilization strategy with stakeholders coordination
• Manage and supervise employees under his/her supervision with regard to organization and performance evaluation.
• Conduct complex analysis and generate accurate reports in a timely manner for Africa CDC’S and AU’s internal use.
• Liaise with the various Departments/Units of the Commission for coordination and alignment purposes
• Participate in preparation of budgets for the Office in accordance with relevant frameworks. Support the promotion of the activities of the Africa CDC including preparing leaflets, guidelines and fact sheets as may be required.
• Actively contribute in the development of strategies, policies, programmes and plans
Specific Responsibilities
• Draft or assist in the drafting of legal texts and memoranda ensure that the interests of the Africa CDC are protected and ideals of the African Union are not compromised and offer advice on issues and disputes that may arise from their application;
• Provide legal services to Africa CDC to ensure legality in decision-making and compliance with the AU rules and regulations;
• Liaise with relevant Africa CDC divisions and assist in drafting and validating Legal frameworks;
• Conduct legal research and proffer legal opinions on matters raised by Africa CDC;
• Draft and review host agreements between the AU/Africa CDC and Regional Collaborating Centres;
• Review and assist in drafting administrative contracts and agreements such as Memorandums of Understanding, Grant Agreements, Letters of Agreements, contracts of engagement of personnel, consultants and contracts awarded for the procurement of goods or services;
• Participate in meetings of relevant legal nature on behalf of Africa CDC;
• Advise on Legal Issues relating to conflict prevention, management and resolution;
• Serve as focal point between Africa CDC and Office of the Legal Counsel;
• Provide legal advice on the interpretation of legal texts relating to administrative and institutional matters;
• Liaise with the Office of the Legal Counsel in negotiating Agreements where Africa CDC is a party;
• Follow up agreements with partners as well as with the Office of the Legal Counsel;
• Perform any other relevant functions as may be assigned by the Supervisor;

Academic Requirements And Relevant Experience
• University Master's Degree in Law with emphasis in the area of Global Health Law, Public Health Law, Public International Law, Administrative Law, Labor Law or equivalent with seven (7) years of relevant work experience out of which three (3) at a expert level in a legal position within an academic institution, a government or international organization.
OR
• University Bachelor Degree in Law with emphasis in the area of Public International Law, Administrative Law, Labor Law or equivalent with at least ten (10) years of relevant work experience out of which three (3) years of relevant work experience should be at a expert level in a legal position within an academic institution, a government or international organization..
• Relevant work experience refers to a progressively responsible experience in legal practice or related area, at least one of which should be in an international setting. More specifically, the candidate should be experienced in the provision of legal advisory services in an organization dealing with multilateral issues, Ministries of Health/Departments of Justice/International Affairs or Cooperation of Member States, or such other relevant organizations and institutions.
• Experience in providing legal advice and counsel to public health or related public sector programmes, of which 3 years at a specialist/expertise level.

• Ability to identify issues, formulate opinions, make conclusions and recommendations in individual and team setting

• Excellent organizational and time-management skills.
• General knowledge of office administrative support procedures and processes.

• Demonstrated ability with regard to computer skills, including excellent word-processing capabilities, proficiency with e-mail and internet applications and experience in using office software applications such as MS Excel, Power Point and Word.
• Proficiency in one of the African Union working languages (Arabic, English, French, Portuguese or Spanish) is required. Knowledge of one or more of the other AU working languages would be an added advantage.

ENURE OF APPOINTMENT:
The appointment will be made on a regular term contract for a period of three (3) years, of which the first twelve months shall be considered as a probationary period. Thereafter, the contract will be for a period of two years renewable, subject to satisfactory performance and deliverables.

REMUNERATION:

VisionFund MFI is currently looking for candidates for Area Legal Coordinator. The successful candidates will have skills and experience that meet the following requirements:

1.        Major Responsibilities

§  Plans, organizes, coordinates, directs, supervises and controls Legal activities of Area and Branch Offices;

§  Represents VF MFI before trial and appellant courts, in hearings and administrative legal actions at Area level;

§  Prepares pleading and appeals when VF MFI institutes proceeding against individuals and body corporate;

§  Prepares legal documents and defenses to charges and appeals instituted against VF MFI for presentation to courts after approval by supervisor;

§  Appears and litigates in court on behalf of the Company;

§  Receives decisions passed by court and reports to concerned body;

§  Participates in preparing legal opinions on claims, proposed acts, contract and other legal instruments;

§  Provides legal opinions and explanations upon request to different work units;

§  Participates and gives opinions in the preparation of rules, regulations, directives and other legal related cases;

§  Periodically updates all legal documents in accordance with the Laws of the Country;

§  Assists Area Office and Branches in handling legal matters;

§  Closely follows-up loan repayment schedules and takes the appropriate action on overdue loans in consultation with concerned Area Offices and Branches;

§  Supervises, supports, trains, and coaches the Area Attorney;

§  Completes all performance management activities including: performance planning, monitoring, annual performance appraisals of Area Attorney;

§  Prepares progress reports and submits to the Legal Service Manager/Area Office Manager;

§  Performs other related duties as assigned by the supervisor.

የፌዴራል ጠቅላይ ፍርድ ቤት በፌዴራል ፍርድ ቤቶች አዋጅ ቁጥር 1234/2013 አንቀጽ 45(8) እና 48(4) በተሰጠው ስልጣን መሰረት የፍርድ ቤት መር የአስማሚነት መመሪያ ወጥቷል፡፡

ጠቅላይ ፍርድ ቤቱ ያወጣው መመሪያ የፌዴራል ፍርድ ቤት መር አስማሚነት መመሪያ ቁጥር 12/2014 በሚል ስያሜ ይጠራል፡፡

የመመሪያውን ዲጂታል (ፒዲኤፍ) ቅጂ በጠቅላይ ፍርድ ቤት ድረ-ገጽ እና ቴሌግራም ቻናል ወይም ከታች በተቀመጠው ማስፈንጠሪያ ያገኙታል፡፡

ነጻና ገለልተኛ ፍ/ቤት ለህግ የበላይነት!
የፌ/ጠ/ፍ/ቤት ኮሚዩኒኬሽን ጉዳዮች ዳይሬክቶሬት
የሕብረት ሽርክና ማሕበር በአዲሱ የንግድ ሕግ

መግቢያ፡-
ሕግ የሕብረተሰብን ባሕሪ የሚገዛ ሁነኛ መሳሪያ ነው፡፡ በመሆኑም አንድ ሕግ ሲወጣ የሀገሪቱን እና የሕዘቡን ወቅታዊና ነባራዊ ሁኔታ ማለትም የኢኮኖሚ፣ የንግድ ልማድ፣ ተቋማት እና ባህል ወዘተ ያገናዘበ መሆን ይገባዋል፡፡ ካሁን በፊት የነበረን የንግድ ሕግ በ1952 ዓ/ም የወጣ (ከ60 ዓመት በላይ ያገለገለ) በመሆኑ በነዚህ ዘመናት ደግሞ ብዙ ነገሮች የተለዋወጡ በመሆኑ ሕጉ ያልሸፈናቸው በርካታ መስተጋብሮች መኖራቸው ግልፅ ነው፡፡ በመሆኑም ነባሩ የንግድ ሕግ አብዛኛው ክፍሉ በ2013 ዓ/ም በወጣው አዲሱ የንግድ ሕግ (በአዋጅ ቁጥር 1243/13) ተሽሯል፡፡ በዚህ አጭር ፅሑፍ የአዲሱ የንግድ ሕግ አካል የሆነውን የሕብረት ሽርክና ማሕበርን የሚገዙ ድንጋጌዎችን ለማየት እንሞክራለን፡፡

የሕብረት ሽርክና ማሕበር ምንነት፡-
የሕብረት ሽርክና ማሕበር ምን ማለት እንደሆነ በንግድ ሕጉ አንቀፅ 183 ላይ የሚከተለው ትርጉም ተሰጥቶታል፡፡ “የኅብረት ሽርክና ማኀበር ማለት እያንዳንዱ ማህበርተኛ ለማኅበሩ ግዴታዎች ከማሕበሩ ጋር በአንድነትና በነጠላ ኃላፊ የሚሆንበት የንግድ ማኀበር ነው፤ ማንኛውም ተቃራኒ ስምምነት ሦስተኛ ወገኖችን መቃወሚያ ሊሆን አይችልም፡፡” ከዚህ ትርጓሜ የሚከተሉት ፍሬ-ነገሮች እናገኛለን፡-
“እያንዳንዱ ማሕበርተኛ”፡- በትርጓሜው ውስጥ “እያንዳንዱ ማሕበርተኛ …” ማለቱ ሲታይ የሕብረት ሽርክና ማሕበር የሚመሰረተው ከአንድ በላይ በሆኑ ሰዎች መሆኑን እና “ሽርክና” የሚለው ቃል የሚያሳያው አንድ ሰው ከሌላው ጋር በመሆን የሚፈጥረው ግንኙነት ወይም ማሕበር እንጂ የህብረት ሽርክና ማሕበር በአንድ ግለሰብ ብቻ የሚመሰረት አለመሆኑን ነው፡፡
“ለማሕበሩ ግዴታዎች”፡- አንድ የንግድ ማሕበር በንግድ መዝገብ ከተመዘገበበት ጊዜ ጀምሮ ሕጋዊ ሰውነት (legal personality) ስለሚያገኝ (አን.175) በስማቸው ውል መዋዋል፣ ንብረት ማፍራትና ባለቤት መሆን፣ በፍርድ ቤት መክሰስም ሆነ መከሰስ እናም ሌሎች መብቶችና ግዴታዎች ይኖሯቸዋል ማለት ነው፡፡

“ከማሕበሩ ጋር በአንድነትና በነጠላ ኃላፊ የሚሆኑበት”፡- ሲል ደግሞ የማሕበሩ አባላት ከማሕበሩ ጋር ያላቸውን ግንኙነት የሚያሳይ ሲሆን በተለይም ማሕበሩ ሊወጣቸው የሚገቡት ግዴታዎችን በተመለከተ የአባላቱ ኃላፊነት እስከምን ድረስ መሆኑን ያስረዳል፡፡ በመሆኑም በድንጋጌው መሰረት የማሕበሩ አባላት “በአንድነትና በነጠላ ኃላፊነት አለባቸው” ሲል ማሕበሩ ላለበት ግዴታ የማሕበሩ አባል የሆነ ሰው ከማሕበሩ እና/ወይም ከሌላ ማሕበርተኛ ጋር በጋራ ወይም ብቻውን የመወጣት ወይም የመፈፀም ግዴታ ያለበት መሆኑን ያሳያል፡፡

የሕብረት ሽርክና ማሕበር አመሰራረት (አንቀፅ 185)፡-
አንድ የሕብረት ሽርክና ማሕበር ለመመስረት በቅድሚያ የመመስረቻ ፅሑፍ እንዲኖረው ያስፈልጋል፡፡ የመመስረቻ ፅሑፉ በአንቀፅ 185 ስር በሰፈረው አኳኋን በርካታ ዝርዝር ነገሮችን አካቶ መያዝ አለበት፡፡ ከነዚህ ዝርዝር ጉዳዮች መካከል የሚከተሉትን በማሳያነት ማንሳት ይቻላል፡- የማኅበሩን ስም፣ የማኅበሩን ዋና መሥሪያ ቤትና እንዳሉም ቅርንጫፎችን፣ የእያንዳንዱን ሸሪክ ስም፣ አድራሻና ዜግነት፣ ማኅበሩ የተመሠረተበትን ዓላማ፣ እያንዳንዱ ሸሪክ ያዋጣውን የገንዘብ መጠን፤ የተከፈለው የዓይነት መዋጮ ከሆነ የገንዘብ ግምቱን እና የአገማመት ዘዴ ወዘተ የሚሉትን ማካተት ይኖርበታል፡፡

የመዋጮ ዓይነትና መጠን (አንቀፅ 186)፡-
የንግድ ማሕበራት ሰዎች መዋጮ አዋጥተው በኢኮኖሚያዊ እንቅስቃሴ በመሰማራት ከሚገኘው ትርፍ ተካፋይ ለመሆን በመመስረቻ ጽሑፍ አማካኝነት የሚያቋቋሟቸው ድርጀቶች ስለመሆናቸው ከአንቀፅ 172 መረዳት ይቻላል፡፡ የሕብረት ሽርክና አባል ከሚከተሉት አንዱን በማዋጣት ሸሪክ መሆን እንደሚችል በሕጉ ተቀምጧል፡፡ በዚህም መሰረት ጥሬ ገንዘብ፣ የሚንቀሳቀስ ወይም የማይንቀሳቀስ ንብረት፣ የሞያ አገልግሎት፣ የንግድ ምልክት፣ መልካም ስም፣ ፓተንት፣ ኮፒ ራይት፣ የሊዝ መብት፣ የአላባ ጥቅም ወይም ሌላ የዓይነት መዋጮ መክፈል ያለበት ሲሆን መዋጮው የማኅበሩ ሃብት እንዲሆን ወይም ማኅበሩ እንዲጠቀምበት ሆኖ ሊከፈል ይችላል፡፡ ሸሪኮች ለማኅበሩ የሚያስገቡት መዋጮ የማኅበሩን ዓላማ ለማሳካት የሚያስፈልገው ዓይነትና መጠን እንዲሁም ተቃራኒ ስምምነት ከሌለ በስተቀር መጠኑ እኩል መሆን አለበት እና የዓይነት መዋጮ ግምት በሸሪኮች ስምምነት የሚወሰን ይሆናል፡፡

የማሕበሩ ሸሪኮች መብቶችና ግዴታዎች (አንቀፅ 190-191)፡-
የማሕበሩ አባላት በመብቶቻቸው በተገቢው መንገድ መጠቀም እንዲሁም ግዴታዎቻቸውንም በአግባቡ መወጣት አለባቸው፡፡ ይህን ተግባራዊ ለማድረግ ደግሞ መብቶቹና ግዴታዎቹ የሕግ ድጋፍ ያላቸውና በዝርዝር ተለይተው መታወቅ አለባቸው፡፡ በመሆኑም የአባላቱ መብቶችና ግዴታዎች እንደሚከለው በንግድ ሕጉ ተቀምጠዋል፡-
የማኅበሩ ሸሪኮች መብቶች፡- እያንዳንዱ የማኅበሩ ሸሪክ በማኅበሩ ስብሰባዎች የመሳተፍና ድምጽ የመስጠት፣ ከማኅበሩ ትርፍ ድርሻውን የመካፈል፣ ስለማኅበሩ አሰራር ጥያቄ የማቅረብ፣ የሒሳብ መግለጫዎችን እና ሰነዶችን የማየት፤ ማስታወሻ የመውሰድ፣ የማኅበሩ ቆይታ ከአንድ ዓመት በላይ ሲሆን በየዓመቱ መጨረሻ የሥራ ክንውን ሪፖርት እንዲቀርብ የመጠየቅ፣ ማኅበሩ ሲፈርስ ከማኀበሩ ሃብት ድርሻውን የመካፈል፣ እና ሌሎች ከማኅበሩ መመስረቻ ጽሑፍ ወይም ከማኅበር ሸሪክነት የሚመነጩ መብቶችንና ጥቅሞችን የማግኘት መብቶች አሉት፡፡

የማኅበሩ ሸሪኮች ግዴታዎች፡- እያንዳንዱ የማኅበሩ ሸሪክ የማኅበሩን መዋጮ በወቅቱ የመክፈል፣ የማኅበሩን ዓላማ ለማሳካት በትጋትና በጥንቃቄ የመሥራት፣ ለግልም ሆነ ለሦስተኛ ወገን ጥቅም የማኀበሩን ጥቅም የሚጎዳ ተግባር አለመሥራት፣ ለማኅበሩ ዕዳዎች በአንድነትና በነጠላ ተጠያቂ የመሆን፣ ሌሎች ከመመስረቻ ጽሑፍና ከማኀበሩ ሸሪክነት የሚመነጩ ግዴታዎችን የመወጣት ግዴታዎች አሉበት፡፡

የሕብረት ሽርክና ማሕበር ሥራ አመራር (አን. 198-203)፡-
የሕብረት ሽርክና ማሕበር ከአባላቱ ውስጥ ወይም ሸሪክ ያልሆኑ የራሱ አመራሮች የሚኖሩት ሲሆን የአመራሮቹ ቁጥር ከአንድ በላይ በሚሆንበት ጊዜ የስራ ድርሻቸው በፅሑፍ መገለፅ ይኖርበታል፡፡ የማሕበሩ ሥራ አስኪያጅ የማሕበሩን ዓላማ ለማሳካት የሚያስችሉ ማንኛውም ሥራዎች በማሕበሩ ስም ያከናውናል፡፡ የሥራ አስኪያጁን ሥልጣን የሚገድቡ ስምምነቶች ሦስተኛ ወገኖችን መቃወሚያ የሚሆኑት በንግድ መዝገብ የተመዘገቡ ወይም ሦስተኛ ወገኖች የሥራ ኃላፊነቱን የሚያዉቁ መሆናቸው የተረጋገጠ እንደሆነ ነው፡፡ሥራ አስኪያጁ በማኅበሩ ስም ለግል ጥቅሙ የሰራ እንደሆነ በቅን ልቦና ከሥራ አስኪያጁ ጋር ግንኙነት ላደረጉ ሦስተኛ ወገኖች ማኅበሩ ኃላፊነት ይኖርበታል፡፡ ሆኖም ሥራ አስኪያጁ የማኅበሩን ስም ያላግባብ መገልገሉን የሚያውቁ መሆኑ የተረጋገጠ እንደሆነ ኃላፊነቱ የሥራ አስኪያጁ ብቻ ይሆናል፡፡ በተለይም የማኅበሩን ስም ሳይጠቅስ ከሦስተኛ ወገኖች ጋር ስምምነት ካደረገ ለግል ጉዳዩ እንዳደረገው ይቆጠራል፤ ሆኖም ሥራ አስኪያጁ ከሦስተኛ ወገኖች ጋር ያደረገው ስምምነት ለማኅሩ ጥቅም የሆነ እንደሆነ ማኅበሩ ኃላፊ የሚሆን ይሆናል፡፡
