የንግድ መዝገብ በአዲሱ የንግድ ህግ

የንግድ መዝገብ (commercial register) በተለያዩ አለም ሀገራት የተለመደ አሰራር ነው፡፡ በሀገራችንም በ1952 ዓ.ም በወጣው የንግድ ህግ የተካተተ ሲሆን የንግድ ህጉ ከወጣበት 1950ቹ በኋላ በሀገራችን በርካታ ነገሮች የተቀየሩ ከመሆኑ አንፃር 2008 ዓ.ም በወጣው የንግድ ምዝገባ እና ፈቃድ አዋጅ ቁጥር 980/2008 እና በማሻሻያው 1150/2011 በጊዜ ሂደት መካተት የነበረባቸውን ሁኔታዎች ለማሟላት ተሞክሮ ነበር፡፡ ሆኖም የንግድ ህጉ ሀገራችን አሁን ያለችበትን ነባራዊ ሁኔታ ማካተት እንደሚገባው ስለታመነበት የቀደመው የንግድ ህግ በአዲሱ የንግድ ህግ እንዲተካ ተደርጓል፡፡ በዚህ አጭር ፅሁፍ የንግድ መዝገብ ምንነት፣ በውስጡ የሚያካትታቸውን ዝርዝር ነገሮች እና ሌሎች ተያያዥ ጉዳዮችን እንመለከታለን፡፡

የንግድ መዝገብ (commercial register) ምንነት

የንግድ መዝገብ (commercial register) በአዲሱም ሆነ በቀድሞ የንግድ ህግ ትርጉም አልተሰጠውም፡፡ በንግድ ምዝገባ እና ፋቃድ አዋጅ ቁጥር 980/2008 አንቀፅ 2(20) ንግድ ምዝገባ ማለት በንግድ ህጉ ወይም በዚህ አዋጅ መሰረት የሚደረግ ምዝገባ ነው በሚል ትርጉም የሰጠ ቢሆንም የንግድ መዝገብን ምንነት በግልፅ አላስቀመጠም፡፡ ሆኖም በተለያዩ ሀገራት ካለው ግንዛቤ እና በእኛም ሀገር ህግ የንግድ መዝገብን አስመልከቶ ከተደነገጉት ድንጋጌዎች አንፃር የንግድ መዝገብ በንግድ ሥራ የተሰማሩ ግለሰቦችና ድርጅቶች ዝርዝር መረጃ የሚያዝበት የመረጃ መመዝገቢያ ሥርአት መሆኑን መረዳት ይቻላል፡፡

ንግድ መዝገብን በተመለከተ ተፈፃሚነት ያለው ህግ

የንግድ ምዝገባን የተመለከቱ ድንጋጌዎች በንግድ መዝገባና ፈቃድ አዋጅ ቁጥር 980/2008 እንዲሁም በንግድ ህጉ ውስጥ ተካተው የሚገኙ እንደመሆኑ ተፈፃሚነት ያለው ህግ የቱ ነው የሚል ጥያቄ መነሳቱ የሚጠበቅ ነው፡፡ ይህን ግምት ውስጥ በማስገባት በአዲሱ ንግድ ህግ ረቂቅ ማብራሪያ ላይ ምላሽ ተሰጥቶበታል፡፡ ይኸውም የንግድ ምዝገባን የሚመለከቱ በየጊዜው የማይለዋወጡ መሰረታዊ መርሆዎች በንግድ ህጉ ውስጥ አንዲካተቱ የተደረጉ በመሆኑ በሁለቱም ላይ የተገለፁ ጉዳዮችን ቢሆኑ እንኳን ገዢ የሚሆነው የንግድ ህጉ ይሆናል፡፡ ሌሎች ተለዋዋጭነት ያላቸው ከዕለት ተዕለት ተግባራዊ አፈፃፀም ጋር የሚያያዙ ጉዳዮች በተመለከተ ግን የንግድ ምዝገባና ፈቃድ አዋጁ ከነማሻሻያው አዋጅ ቁጥር 1150/2011 ተፈፃሚ ይሆናል ማለት ነው፡፡

የንግድ መዝገብ አደረጃጀት

በአዲሱ የንግድ ህግ የንግድ መዝገብ በፌደራል ደረጃ የሚቋቋም ሲሆን ክልሎች እንዲሁም የአዲስ አበባ እና የድሬዳዋ ከተማ አስተዳደሮች የንግድ መዝገብ ሊያቋቁሙ ይችላሉ፡፡ በፌደራል ደረጃ የሚቋቋመውን የንግድ መዝገብ እንዲያቋቁም ሀላፊነት የተሰጠው ለንግድና ኢንደስትሪ ሚኒስቴር የነበረ ሲሆን በአዲሱ የአስፈፃሚ አካላት ማቋቋሚያ አዋጅ ቁጥር 1263/2014 ዓ.ም መሰረት ይህ ተግባር የንግድና ቀጠናዊ ትስስር ሚንስቴር ይሆናል፡፡ ሚኒስቴሩ በአገር አቀፍ ደረጃ ተፈፃሚነት ያለው ንግድ መዝገብ አቋቁሞ የማስተዳደር ሀላፊነት የተጣለበት ሲሆን በዚህ መልኩ በሚያቋቁመው መዝገብም ነጋዴዎችንና የንግድ ማህበራትን መመዝብ ይጠበቅበታል፡፡ ሚኒስቴሩ አስፈላጊ ሆኖ ሲያገኘው የመመዝገብ ሃላፊነቱን በከፊል ለሌላ የፌደራል ተቋም በውክልና ማስተላለፍ ይችላል፡፡ ክልሎችና ከተማ አስተዳደሮች ራሳቸው በሚያወጡት ህግ የንግድ መዝገብ አቋቁመው የንግድ መዝገቡን አስተዳደርና የመመዝገብ ስልጣን ያለውን አካል እንዲሁም ሀላፊነቱን መወሰን የሚችሉ ቢሆንም ምዝገባውን ማከናወን ያለባቸው ግን የንግድ ህጉን በጥብቅ በመከተል መሆን አለበት፡፡

በሌላ በኩል ሚኒስቴር መስሪያ ቤቱ በአገር አቀፍ ደረጃ ተፈፃሚነት ያለው ማዕከላዊ የንግድ ምዝገባ ቋት ማደራጀትና ማስተዳደር ሀላፊነት ተጥሎበታል፡፡ ይህ ማዕከላዊ የንግድ መዝገብ መረጃ ቋት በፌደራል፣ በክልል እንዲሁም በአዲስ አበባ እና ድሬድዋ ከተማ አስተዳደሮች በሚኖሩ የንግድ መዛግብት የሚሰፍሩ መረጃዎች ተጠቃለው የሚገቡበት ቋት ነው፡፡ ሚኒስቴሩ ቋቱን ከማደራጀትና ከማስተዳደር በተጨማሪ በየክልሉ ባሉ ልዩ ልዩ መዛግብት የተፃፉትን እያንዳንዱን የተመዘገበውን ሰው የሚመለከቱ መረጃዎች በሙሉ በመቀበል ወደ ቋት ማስገባት፣ የንግድ ማህበራትን የሚመለከቱ ፅሁፎችን፣ ሰነዶችን፣ ማስታወቂያዎችን ተቀብሎ ቋት ውስጥ ማስገባት እና ስለ ንግድ መዛግብት የወጡ ህጎችና ደንቦች በትክክል መፈፀማቸውን የመከታተል እና የመቆጣጠር ሀላፊነት ተጥሎበታል፡፡ በአንፃሩም የንግድ ምዝገባ ያከናወነ የፌደራልም ሆነ የክልል ተቋም የመዘገባቸውን የእያንዳንዱን ነጋዴ ወይም ንግድ ማህበር መረጃዎችና ሰነዶች ምዝገባውን እንዳከናወነ ለሚኒስቴሩ የማስተላለፍ ሀላፊነት ተጥሎበታል፡፡ በዚህ መልኩ የሚደራጀው የንግድ መዝገብም ለህዝብ ክፍት መሆን አለበት፡፡

በንግድ መዝገብ የሚገቡ ነገሮች

ተመዝጋቢው የሚያደርገው ዋና ምዝገባ፣ በተጨማሪ ወይም በማሟያ የሚደረጉ ምዝገባዎች፣
የተለወጡ ወይም የተሰረዙ ጉዳዮች በንግድ መዝገብ ሊገቡ ይገባል፡፡
ዋና ምዝገባ
ከስሙ እንደምንረዳው ዋና ምዝገባ ነጋዴው በዋናነት በመጀመሪያ የሚመዘገብበት ምዝገባ ነው፡፡ በዚህ ምዝገባ የነጋዴው ሙሉ ሥም፣ የትውልድ ቀንና ቦታ፣ ዜግነት፣ የግል አድራሻ፣ ያገባ ከሆነ ጋብቻው የተፈፀመበት ቀንና ቦታ፣ ጋብቻ ውል መኖር አለመኖሩ፣ ካለ የተቀመጠበት ቦታ ወይም የያዘው ሰው ሥም፣ ሚስት ወይም ባል ስለ ንግድ ሥራው ያቀረበው ተቃውሞ ካለ ያቀረቡት መቃወሚያ፣ መቃወሚያው ቀሪ ከሆነም ቀሪ የሆነበት፣ ጋብቻው እንዲፈርስ ተወስኖ ከሆነ የመፍረስ ውሳኔው፣ የንግዱ ሥም፣ የንግዱ ምልክት፣ የንግዱ አላማ፣ የንግድ መደብሩ አድራሻ፣ ንግዱን ያቋቋመው ወይም የገዛ ወይም የተከራየ ስለመሆኑ እና ተከራይቶ ከሆነ የአከራይ ሥምና አስፈላጊ ሰነዶች፣ በተመዘገበበት ቦታ ወይም ሌላ ቦታ ሌሎች መደብሮች፣ ቅርንጫፎች ወይም መኪሎች ያሉት ከሆነ አድራሻቸው፣ በቅርንጫፎቹ ሥራ አስኪያጅጆች ያሉ ከሆነ ሥልጣናቸው ቅርንጫፉን በማስተዳደር ብቻ የተወሰነ መሆኑ፣ ያለው ከሆነ ለመነገድ የንግድ ፈቃድ ተሰጠበት ቀን፣ አካለ መጠን ያልደረሰ ከሆነ የንግድ ሥራ እንዲሰራ ለሞግዚቱ የተፈቀደበት ቀን፣ ችሎታ የሌለው ስለመሆኑ በፍርድ ቤት የተከለከለ ከሆነ የፍርድ ቤቱ ውሳኔ እንዲሁም አዲስ ሥራ አስኪያጅ ከተሾመ ስለመሾሙ የተመለከቱ መረጃዎች ይካተታሉ፡፡

ተመዝጋቢዎቹ የንግድ ማህበራት በሚሆኑ ጊዜም ሌሎች አስፈላጊ ነገሮች መመዝገብ ይኖርባቸዋል፡፡ ከዚህ በተጨማሪም የመልሶ ማደራጀት ሥነ ሥርአት፣ የመክሰር ሥነ ሥርአት፣ ቀላል የመክሰር ሥነ ሥርአት ወይም ከዕዳ ነፃ መደረግ ሥነ ሥርአት ውሳኔዎች ካሉ መመዝገብ ይገባቸዋል፡፡ ነጋዴው አካለ መጠን አለመድረስ፣ የነጋዴው ችሎታ ማጣት፣ ነጋዴው ማግባቱ ወይም ጋብቻው መፍረሱ፣ የጋብቻ ውል መኖር፣ የሥራ አስኪያጅ መሻር ወይም ከሥራ መሰናበት፣ የሥራ አስኪያጅ ስልጣን አንድ ቅርንጫፍ ወይም ወኪል ጽ/ቤት በማስተዳደር ብቻ የተወሰነ መሆኑ እንዲሁም በአንቀፅ 15 መሰረት ባለው ወይም ሚስት የንግድ ሥራው የጋራ አለመሆኑን አስመልክቶ የሚያቀርቡት መቃወሚያ በንግድ መዝገብ ካልተመዘገበ በስተቀር ቅን ልቦና ባላቸው ወገኖች ላይ መቃወሚያ ሆኖ ሊነሳ አይችልም፡፡
ሌላው ከዋና ምዝገባ ጋር በተያዘ ልብ ሊባል የሚገባው አንድ ነጋዴ ዋና ምዝገባ ሊመዘገብ የሚችለው አንድ ጊዜ ብቻ ሲሆን በተለያየ የንግድ ሥራዎች የሚሰራ እንኳን ቢሆን በዋናነት በንግድ መዝገብ መመዝገብ የሚችለው በአንድ ቦታ ብቻ መሆኑ ነው፡፡ በሌሎች ክልሎች የሚነግድ ወይም የተለያዩ ቅርንጫፎች ወይም ወኪል መ/ቤቶች ካሉ ዋና መዝገቡ እየተጠቀሰ በአጭር ቃል በየክልሎቹ መመዝገብ አለበት፡፡ ከዋና ምዝገባ በኋላ የሚከሰቱ ለውጦች ካሉም ለውጦቹ በንግድ መዝገብ መግባት ይጠበቅባቸዋል፡፡

በንግድ መዝገብ የመግባት ሥነ ሥርአት
በሀገራችን ግዛት ውስጥ የንግድ ሥራ የሚሰራ ማንኛውም ሰው (ኢትዮጵያዊ ወይም የውጪ ዜጋ) ወይም የህግ ሰውነት ያለው የንግድ ማህበር የመመዝገብ ግዴታ አለበት፡፡ የሚመዘገበውም ተመዝጋቢው ዋና መስሪያ ቤቱ በሚገኝበት ቦታ መዝገብ ለመያዝ ስልጣን ባለው አካል ፊት ቀርቦ በፅሁፍ በሚሰጠው መግለጫ መሰረት ነው፡፡ ነጋዴዎች ንግድ ከመጀመራቸው በፊት በነጋዴነት እንዲመዘገቡ ማመልከቻ የማቅረብ ግዴታ ያለባቸው ሲሆን ማመልከቻውን ያላቀረበ በነጋዴነት ሊመዘገብ አይችልም፡፡ ማመልከቻውን ሲያቀርብም መዝጋቢው ተመዝጋቢው የሚያቀርበውን ማመልከቻ ትክክለኛነት፣ በህግ የታዘዙ ነገሮች በመግለጫው ውስጥ መካተታቸውን፣ ለመግለጫው ደጋፊ የሆኑ የፅሁፍ ማስረጃዎች ከመግለጫው ጋር መጣጣማቸውን እና አመልካቹ ምዝገባ የጠየቀበትን የንግድ ሥራ ለመስራት የሚያስችለውን ህጋዊ መመዘኛ ማሟላቱን ማረጋገጥ ይጠበቅበታል፡፡ መዝጋቢው አካል ተጨማሪ ሰነዶችና መረጃዎች አስፈላጊ ሆነው ባገኘ ጊዜ እንዲቀርቡ መጠየቅ ይችላል፡፡ በዚህ ሂደት የተከናወነ ምዝገባ ከተደረገበት ቀን ቀጥሎ ከሚኖረው ቀን ጀምሮ የፀና ይሆናል፡፡ ከዚህ በኋላ የተመዘገቡ ነጋዴዎችም በሚሰሩባቸው ወረቀቶች ላይ ሁሉ የተመዘገቡበትን ቦታ እና የምዝገባ ቁጥራቸውን መግለፅ ይጠበቅባቸዋል፡፡ ምዝገባውን በተመለከተ በመዝጋቢው እና በአመልካቹ መካከል የሚፈጠሩ ክርክሮች በመደበኛ ፍርድ ቤት የሚወሰኑ ሲሆን ምዝገባውን የሚያከናውነው አካል እና ሰራተኞቹ ከምዝገባ ጋር በተያያዘ ለሚደርሱ ጉዳቶች በአንድነትና በተናጠል ተጠያቂነት አለባቸው፡፡ መመዝገብ የሚገባው ሆኖ ሳይመዘገብ የቀረ ነጋዴ ደግሞ እንደ ነጋዴ ተቆጥሮ ሀላፊ ይሆናል፡፡
በመዝገብ የመግባት ውጤት
ከላይ በተገለፀው መልኩ የሚደረግ ምዝገባ በተመዝጋቢው እንዲሁም በሚመዘገበው መረጃ ረገድ የራሱ ውጤት የሚያስከትል ነው፡፡ ተመዝጋቢውን በተመለከተ ተቃራኒ ማስረጃ ካልቀረበ በስተቀር ማንኛውም በመዝብ የገባ ሰው ነጋዴ እንደሆነ ግምት ይወሰዳል፡፡ ሆኖም በነጋዴነት የተመዘገበው ሰው ወይም ማህበር ግን ነጋዴ አይደለሁም ሲል ማስረጃ እንዲያቀርብ አይፈቀድለትም፡፡ በዚህም ነጋዴ መሆኑ የሚያስከትለው ሀላፊነት ሁሉ ይኖርበታል፡፡
ከተመዘገበው ጉዳይ አንፃር ማንኛውም ሰው በመዝገብ እንዲገባ ያደረገው መረጃ ትክክል ሳይሆን ቢቀር የተመዘገበው መረጃ ትክክል እንደሆነ በመቀበል በሰሩ ሰዎች ላይ የሚፈጠረውን ስህተት በመቃወሚያነት እንዲያቀርብ አይፈቀድም፡፡ ሶስተኛ ወገኖችም በንግድ መዝገብ የገባውን ጉዳይ አላውቅም ነበር ብለው ማስረጃ እንዲያቀርቡ አይፈቀድላቸውም፡፡

ከመዝገብ መሰረዝ
በንግድ መዝገብ የተመዘገበ ነጋዴ በዋናነት በሶስት ምክንያቶች ከንግድ መዝግብ ሊሰረዝ ይችላል፡፡
 ነጋዴው ከሞተ፡- የተመዘገበው ነጋዴ የሞተ እንደሆነ ከንግድ መዝገብ የሚሰረዝ ሲሆን ከአቅም በላይ የሆነ ምክንያት ካልገጠማቸው በስተቀር የሟች ሚስት ወይም ባል ወይም ወራሾች ነጋዴው በሞተ በ60 ተከታታይ ቀናት ውስጥ ምዝገባው እንዲሰረዝ ማመልከት ይጠበቅባቸዋል፡፡
 መነገድ መተው፡- በንግድ ሥራ የተሰማራ ነጋዴ በተለያየ ምክንያት የንግድ ሥራውን ሊተው ወይም መደብሩን ሊያከራይ ይችላል፡፡ ይህ በሚሆንበት ጊዜ ሥራውን ከተወበት ወይም መደብሩን ካከራየበት ጊዜ ጀምሮ በ60 ተከታታይ ቀናት ውስጥ ከመዝገብ እንዲሰረዝ ማመልከት ይጠበቅበታል፡፡
 በትዕዛዝ ስለመሰረዝ፡- ይህ በመዝጋቢው አካል የሚፈፀም ነው፡፡ ይኸውም ነጋዴው የንግድ ሥራውን ማቆሙን እና የንግድ ሥራውን ለመስራት ችሎታ የሌለው ስለመሆኑ በፍርድ ቤት እንደተወሰነበት ባወቀ ጊዜ ወይም በሌላ ህግ ለምዝገባ መሰረዝ በቂ ምክንያት ናቸው ተብለው የተደተደነገጉ ሁኔታዎች ከተሟሉ በራሱ አነሳሽነት ነጋዴውን ከመዝገብ መሰረዝ ሃፊነት አለበት፡፡ እዚህ ላይ በንግድ ምዝገባ እና ፈቃድ አዋጅ 980/2008 አንቀፅ 18 የተዘረዘሩት ምክንያቶች ሊጠቀሱ ይችላሉ፡፡ መዝጋቢው አካል የመሰረዝ ውሳኔ ሲሰጥ ለነጋዴው ለእራሱ እና ለሌሎች ለሚመለከታቸው አካላት ማሳወቅ አለበት፡፡

ከንግድ መዝገብ ጋር በተያያዘ የወንጀል ተጠያቂነት

ከንግድ መዝገብ ጋር በተያያዘ በንግድ ህጉ መሰረት መመዝገብ እያለበት ሳይመዘገብ የቀረ ወይም መመዝገብ ያለበትን ነገር ሳያስመዘግብ የቀረ እንዲሁም ስለሚመዘገበው ጉዳይ ሆነ ብሎ ትክክለኛ ያልሆነ መግለጫ የሰጠ ማንኛውም ሰው አግባብነት ባለው ህግ የወንጀል ተጠያቂነት እንደሚኖርበት ተደንግጓል፡፡ አግባብነት ያለው ህግ የሚባለው በዋናነት በልዩ ሁኔታ ንግድ ነክ ተግባራትን የሚመለከተው የንግድ መዝገባና ፈቃድ አዋጅ ቁጥር 980/2008 ሲሆን በወንጀል የሚስቀጡ ተግባራትንና ቅጣታቸውን በዝርዝር አስቀምጧል፡፡ ለአብነት ሀሰተኛ መረጃ በማቅረብ በንግድ ምዝገባ የተመዘገበ ወይም የንግድ ሥሙን ያስመዘገበ ወይም የሞከረ ሰው ያለአግባብ ያገኘው ጥቅም መወረሱ እንደተጠበቀ ሆኖ ከብር ስልሳ ሺ እስከ ብር መቶ ሀያ ሺ በሚደርስ የገንዘብ መቀጮ እና ከሰባት አመት እስክ አስራ ሁለት አመት በሚደርስ ፅኑ እስራት እንደሚቀጣ የአዋጁ አንቀፅ 49(3) ደንግጎ ይገኛል፡፡ ሌሎች ከምዝገባ ጋር የተያያዙ ወንጀሎች በአዋጁ አንቀፅ 49 ሥር የተዘረዘሩ በመሆኑ ህጉን በሚጥሱ ላይ ተፈፃሚ ይሆናል ማለት ነው፡፡

በአጠቃላይ የንግድ መዝግብ በንግድ ህጉ መሰረት በንግድ ሥራ ላይ የሚሳተፉ ነጋዴዎችና ማህበራት መረጃ የሚመዘገቡበት የመረጃ ሥርአት መሆኑ ታውቆ ሁሉም መመዝገብ ያለበት ነጋዴ ወይም ማህበር ተገቢውን የምዝገባ ስርአት እንዲከተል እንመክራለን፡፡

Purpose of Job
The Senior Legal Officer reports to the Deputy Director, Africa CDC and technically to the African Union Office of Legal Council (AU-OLC). Working in close collaboration with the AU-OLC, the incumbent shall provide legal advisory services to staff of the Africa CDC Secretariat, Regional Collaborating Centres (RCC) and National Public Health Institutes (NPHI)
Main Functions
• Provide technical support in the preparation and implementation of programmes developed out of Africa CDC’s strategic plan
• Ensure effective coordination and implementation at various levels
• Liaise with Member States, Regional Economic Communities (RECs), and other stakeholders on relevant matters
• Prepare and develop reports, budget and work programmes related to the functioning of the Office
• Provide technical support for the development of resource mobilization strategy with stakeholders coordination
• Manage and supervise employees under his/her supervision with regard to organization and performance evaluation.
• Conduct complex analysis and generate accurate reports in a timely manner for Africa CDC’S and AU’s internal use.
• Liaise with the various Departments/Units of the Commission for coordination and alignment purposes
• Participate in preparation of budgets for the Office in accordance with relevant frameworks. Support the promotion of the activities of the Africa CDC including preparing leaflets, guidelines and fact sheets as may be required.
• Actively contribute in the development of strategies, policies, programmes and plans
Specific Responsibilities
• Draft or assist in the drafting of legal texts and memoranda ensure that the interests of the Africa CDC are protected and ideals of the African Union are not compromised and offer advice on issues and disputes that may arise from their application;
• Provide legal services to Africa CDC to ensure legality in decision-making and compliance with the AU rules and regulations;
• Liaise with relevant Africa CDC divisions and assist in drafting and validating Legal frameworks;
• Conduct legal research and proffer legal opinions on matters raised by Africa CDC;
• Draft and review host agreements between the AU/Africa CDC and Regional Collaborating Centres;
• Review and assist in drafting administrative contracts and agreements such as Memorandums of Understanding, Grant Agreements, Letters of Agreements, contracts of engagement of personnel, consultants and contracts awarded for the procurement of goods or services;
• Participate in meetings of relevant legal nature on behalf of Africa CDC;
• Advise on Legal Issues relating to conflict prevention, management and resolution;
• Serve as focal point between Africa CDC and Office of the Legal Counsel;
• Provide legal advice on the interpretation of legal texts relating to administrative and institutional matters;
• Liaise with the Office of the Legal Counsel in negotiating Agreements where Africa CDC is a party;
• Follow up agreements with partners as well as with the Office of the Legal Counsel;
• Perform any other relevant functions as may be assigned by the Supervisor;

Academic Requirements And Relevant Experience
• University Master's Degree in Law with emphasis in the area of Global Health Law, Public Health Law, Public International Law, Administrative Law, Labor Law or equivalent with seven (7) years of relevant work experience out of which three (3) at a expert level in a legal position within an academic institution, a government or international organization.
OR
• University Bachelor Degree in Law with emphasis in the area of Public International Law, Administrative Law, Labor Law or equivalent with at least ten (10) years of relevant work experience out of which three (3) years of relevant work experience should be at a expert level in a legal position within an academic institution, a government or international organization..
• Relevant work experience refers to a progressively responsible experience in legal practice or related area, at least one of which should be in an international setting. More specifically, the candidate should be experienced in the provision of legal advisory services in an organization dealing with multilateral issues, Ministries of Health/Departments of Justice/International Affairs or Cooperation of Member States, or such other relevant organizations and institutions.
• Experience in providing legal advice and counsel to public health or related public sector programmes, of which 3 years at a specialist/expertise level.

ENURE OF APPOINTMENT:
The appointment will be made on a regular term contract for a period of three (3) years, of which the first twelve months shall be considered as a probationary period. Thereafter, the contract will be for a period of two years renewable, subject to satisfactory performance and deliverables.

REMUNERATION:

VisionFund MFI is currently looking for candidates for Area Legal Coordinator. The successful candidates will have skills and experience that meet the following requirements:

1.        Major Responsibilities

§  Plans, organizes, coordinates, directs, supervises and controls Legal activities of Area and Branch Offices;

§  Represents VF MFI before trial and appellant courts, in hearings and administrative legal actions at Area level;

§  Prepares pleading and appeals when VF MFI institutes proceeding against individuals and body corporate;

§  Prepares legal documents and defenses to charges and appeals instituted against VF MFI for presentation to courts after approval by supervisor;

§  Appears and litigates in court on behalf of the Company;

§  Receives decisions passed by court and reports to concerned body;

§  Participates in preparing legal opinions on claims, proposed acts, contract and other legal instruments;

§  Provides legal opinions and explanations upon request to different work units;

§  Participates and gives opinions in the preparation of rules, regulations, directives and other legal related cases;

§  Periodically updates all legal documents in accordance with the Laws of the Country;

§  Assists Area Office and Branches in handling legal matters;

§  Closely follows-up loan repayment schedules and takes the appropriate action on overdue loans in consultation with concerned Area Offices and Branches;

§  Supervises, supports, trains, and coaches the Area Attorney;

§  Completes all performance management activities including: performance planning, monitoring, annual performance appraisals of Area Attorney;

§  Prepares progress reports and submits to the Legal Service Manager/Area Office Manager;

§  Performs other related duties as assigned by the supervisor.
