የተለየ ድምፅ የሚያስገኝ ልዩ አክስዮን ሊኖራቸዉ አይችልም፡፡ በቦርድ አባላት ምርጫ ወቅት የአነስተኛ ባለአክስዮኖች መብት ማስጠበቂያ አሰራር የድምር ድምፅ አሰራር ነዉ፡፡ ይህ ግን በሕጋችን በግልፅ የተቀመጠ ደንብ አይደለም፡፡ ነባሩ ንግድ ሕግ ቀጥር 352 ስለተመጣጣኝ ዉክልና የሚናገር ሲሆን በግልፅ የድምር ድምፅ አሰራር ግን አይደነግግም፡፡
ሌላዉ ከጠቅላላ ጉባዔዉ ዉሳኔ ጋር በተዘዋዋሪ የሚያያዘዉ እና የአነስተኛ ባለአክስዮኖች መብት ላይ ተፅዕኖ ሊፈጥር የሚችል ጉዳይ አዳዲስ አክስዮኖች ሲወጡ እያንዳንዱ አባል ባለዉ ድርሻ መጠን የመግዛት መብት ነዉ፡፡ ይህ በቁጥር 345 (4) እና በቁጥር 470(1) ላይ የተቀመጠ መርህ ነዉ፡፡ የዚህ መርህ ዓላማ በማኅበሩ ዉስጥ ያለዉን የይዞታ ስብጥር ማስጠበቅ ሲሆን ጠቃሚነቱ በማኅበሩ ዉስጥ ያለዉ የኃይል ሚዛን እንዲጠበቅ ያደርጋል፡፡
5. አነስተኛ ባለአክስዮኖች ከኦዲትና ቁጥጥር አንፃር ያላቸዉ መብቶች
ከኦዲት ሥራ ጋር የተያያዘ የአነስተኛ ባለአክስዮኖች መብቶች በአዲሱ የንግድ ሕግ ዉስጥ ተካተዋል፡፡ እነዚህም በቁጥር 343(2) እና በቁጥር 355 ላይ የተቀመጡት ድንጋጌዎች ናቸዉ፡፡ "ከማኅበሩ ዋና ገንዘብ ዉስጥ ቢያንስ 20% ያለዉ ባለአክስዮን (ባለአክስዮኖች) ራሳቸዉ የመረጡትን የውጭ ኦዲተር መሾም ይችላሉ" በማለት የአነስተኛ ባለአክስዮኖች የራሳቸዉን ኦዲተር የመሾም መብት እንዳላቸዉ ይናገራል፡፡ ይህን መብት አነስተኛ ባለአክስዮኖች ከተጠቀሙበት በማኅበሩ ዉስጥ ቢያንስ ሁለት ኦዲተሮች (በጠቅላላ ጉባዔዉ የሚሾምና በአነስተኛ ባለአክስዮኖች የሚሾም) ይኖራሉ ማለት ነዉ፡፡ ይህ ኦዲተሮች ለዳይሬክተሮች ወይም ለአብላጫ ባለአክስዮኖች በመወገን ሊፈጠሩ የሚችሉትን አደጋ ይቀርፋል ተብሎ ይታመናል፡፡ ከዚህ በተጨማሪ ቁጥር 355 ላይ ነፃ ኦዲተር እንዲሾም ለንግድና ኢንዱስትሪ ሚኒስቴር ወይም አግባብ ያለዉ ሌላ የመንግስት መስሪያ ቤት ማመልከቻ ስለማቅረብ ይናገራል፡፡ የማኅበሩ ሥራ አመራር አነስተኛ የአክስዮን ድርሻ ያላቸዉን ማኅበርተኞች ወይም ማኅበሩን በሚጎዳ አኳኋን መከናወንና አለመከናወኑን መርምረዉ ሪፖርት የሚያቀርቡ አንድ ወይም ከአንድ በላይ የሆኑ ኤክስፐርቶች መሾም አለበት፡፡ በዚህ ድንጋጌ መሰረት ከማኅበሩ ካፒታል አስር በመቶ (10%) ያለዉ (ያላቸዉ) ባለአክስዮኖች ለንግድና ኢንዱስትሪ ሚኒስቴሩ አቤቱታ ማቅረብና ማኅበሩ ኦዲት እንዲረግ መጠየቅ ይችላሉ፡፡ እነዚህ ከኦዲት ስራ ጋር የተያያዙ የአነስተኛ ባለአክስዮኖች መብት ቀላል አይደሉም፡፡ በማኅበሩ አስተዳዳሪዎች ወይም በከፍተኛ ባለ አክስዮኖች የሚደርስባቸውን የመብት ጥሰት ለመግታት እና መብታቸውን ለማስከበር አጅግ ጠቃሚ ናቸዉ፡፡
6. አክስዮን ሸጦ የመውጣት የአነስተኛ ባለአክሲዮኖች መብት
በአዲሱ የንግድ ሕግ አንቀጽ 292 መሰረት የማህበሩን ዋና ገንዘብ ዘጠና በመቶ የሚወክለ አክስዮኖች በአንድ ጊዜ በማህበርተኛ የተያዙ እንደሆነ አነስተኛ ባለአክስዮኖች ማህበርተኛው አክስዮኖቻቸውን እንዲገዛቸው የመጠየቅ መብት አላቸው። ጥያቄ አቅራቢው ባአአክስዮን አክስዮኖቹ ስለሚገዙበት ሁኔታ በተለይም የአክስዮኖቹን ዋጋ የንግድ ሕግ ስለወሰነበት መንገድ መረጃ ከጥያቄው ጋር ማቅረብ አለበት። ጥያቄ የቀረበለት ማህበርተኛ የቀረበለትን ዋጋ ያልተቀበለ እንደሆነ ማህበሩ በተመዘገበበት ቦታ ሥልጣን ያለው ፍርድ ቤት የአክስዮኖቹን ዋጋ የሚወስን ባለሞያ መሾም አለበት። አክስኖቹን ለመሸጥ ጥያቄ ያቀረበው ባለአክሲዮን የአክሲዮኖቹን ዋጋ ለመወሰን የወጣውን ወጪ መሸፈን አለበት። ይህ እንደተጠበቀ ሆኖ አክስዮን እንዲገዛ ጥያቄ የቀረበለት ማህበርተኛ የሰጠው ዋጋ ተማኙ ባለሞያ ከወሰነው ያነሰ እንደሆነ ወጪውን በከፊል ወይም በሙሉ እንዲሸፍን ፍርድ ቤቱ ሊያዘው ይችላል፡፡
በአጠቃላይ የአነስተኛ ባለአክሲዮኖች መብት መጠበቅ የማኅበሩን ህልውና መጠበቅ ነዉ፡፡ ይህም የማኅበሩን መልካም አስተዳደር የተሳካና የንግድ አላማውን ዉጤታማ ያደርገዋል፡፡ በዚህ የተነሳ አነስተኛ ባለአክስዮኖች ከሌሎች ከፍተኛ ድርሻ ካላቸው ባለአክስዮኖች፣ ከዳይሬክተሮች ቦርድ፣ ከጠቅላላ ጉባዔዉ እና በአዲተሮች አማካኝነት ከሚሰነዘሩ ያልተገቡ ጫናዎችና የመብት ጥሰቶች መጠበቂያ መንገዶች በአዲሱ የንግድ ሕግ ተደንግገዉ ይገኛሉ፡፡

ሌላዉ ከጠቅላላ ጉባዔዉ ዉሳኔ ጋር በተዘዋዋሪ የሚያያዘዉ እና የአነስተኛ ባለአክስዮኖች መብት ላይ ተፅዕኖ ሊፈጥር የሚችል ጉዳይ አዳዲስ አክስዮኖች ሲወጡ እያንዳንዱ አባል ባለዉ ድርሻ መጠን የመግዛት መብት ነዉ፡፡ ይህ በቁጥር 345 (4) እና በቁጥር 470(1) ላይ የተቀመጠ መርህ ነዉ፡፡ የዚህ መርህ ዓላማ በማኅበሩ ዉስጥ ያለዉን የይዞታ ስብጥር ማስጠበቅ ሲሆን ጠቃሚነቱ በማኅበሩ ዉስጥ ያለዉ የኃይል ሚዛን እንዲጠበቅ ያደርጋል፡፡
5. አነስተኛ ባለአክስዮኖች ከኦዲትና ቁጥጥር አንፃር ያላቸዉ መብቶች
ከኦዲት ሥራ ጋር የተያያዘ የአነስተኛ ባለአክስዮኖች መብቶች በአዲሱ የንግድ ሕግ ዉስጥ ተካተዋል፡፡ እነዚህም በቁጥር 343(2) እና በቁጥር 355 ላይ የተቀመጡት ድንጋጌዎች ናቸዉ፡፡ "ከማኅበሩ ዋና ገንዘብ ዉስጥ ቢያንስ 20% ያለዉ ባለአክስዮን (ባለአክስዮኖች) ራሳቸዉ የመረጡትን የውጭ ኦዲተር መሾም ይችላሉ" በማለት የአነስተኛ ባለአክስዮኖች የራሳቸዉን ኦዲተር የመሾም መብት እንዳላቸዉ ይናገራል፡፡ ይህን መብት አነስተኛ ባለአክስዮኖች ከተጠቀሙበት በማኅበሩ ዉስጥ ቢያንስ ሁለት ኦዲተሮች (በጠቅላላ ጉባዔዉ የሚሾምና በአነስተኛ ባለአክስዮኖች የሚሾም) ይኖራሉ ማለት ነዉ፡፡ ይህ ኦዲተሮች ለዳይሬክተሮች ወይም ለአብላጫ ባለአክስዮኖች በመወገን ሊፈጠሩ የሚችሉትን አደጋ ይቀርፋል ተብሎ ይታመናል፡፡ ከዚህ በተጨማሪ ቁጥር 355 ላይ ነፃ ኦዲተር እንዲሾም ለንግድና ኢንዱስትሪ ሚኒስቴር ወይም አግባብ ያለዉ ሌላ የመንግስት መስሪያ ቤት ማመልከቻ ስለማቅረብ ይናገራል፡፡ የማኅበሩ ሥራ አመራር አነስተኛ የአክስዮን ድርሻ ያላቸዉን ማኅበርተኞች ወይም ማኅበሩን በሚጎዳ አኳኋን መከናወንና አለመከናወኑን መርምረዉ ሪፖርት የሚያቀርቡ አንድ ወይም ከአንድ በላይ የሆኑ ኤክስፐርቶች መሾም አለበት፡፡ በዚህ ድንጋጌ መሰረት ከማኅበሩ ካፒታል አስር በመቶ (10%) ያለዉ (ያላቸዉ) ባለአክስዮኖች ለንግድና ኢንዱስትሪ ሚኒስቴሩ አቤቱታ ማቅረብና ማኅበሩ ኦዲት እንዲረግ መጠየቅ ይችላሉ፡፡ እነዚህ ከኦዲት ስራ ጋር የተያያዙ የአነስተኛ ባለአክስዮኖች መብት ቀላል አይደሉም፡፡ በማኅበሩ አስተዳዳሪዎች ወይም በከፍተኛ ባለ አክስዮኖች የሚደርስባቸውን የመብት ጥሰት ለመግታት እና መብታቸውን ለማስከበር አጅግ ጠቃሚ ናቸዉ፡፡
6. አክስዮን ሸጦ የመውጣት የአነስተኛ ባለአክሲዮኖች መብት
በአዲሱ የንግድ ሕግ አንቀጽ 292 መሰረት የማህበሩን ዋና ገንዘብ ዘጠና በመቶ የሚወክለ አክስዮኖች በአንድ ጊዜ በማህበርተኛ የተያዙ እንደሆነ አነስተኛ ባለአክስዮኖች ማህበርተኛው አክስዮኖቻቸውን እንዲገዛቸው የመጠየቅ መብት አላቸው። ጥያቄ አቅራቢው ባአአክስዮን አክስዮኖቹ ስለሚገዙበት ሁኔታ በተለይም የአክስዮኖቹን ዋጋ የንግድ ሕግ ስለወሰነበት መንገድ መረጃ ከጥያቄው ጋር ማቅረብ አለበት። ጥያቄ የቀረበለት ማህበርተኛ የቀረበለትን ዋጋ ያልተቀበለ እንደሆነ ማህበሩ በተመዘገበበት ቦታ ሥልጣን ያለው ፍርድ ቤት የአክስዮኖቹን ዋጋ የሚወስን ባለሞያ መሾም አለበት። አክስኖቹን ለመሸጥ ጥያቄ ያቀረበው ባለአክሲዮን የአክሲዮኖቹን ዋጋ ለመወሰን የወጣውን ወጪ መሸፈን አለበት። ይህ እንደተጠበቀ ሆኖ አክስዮን እንዲገዛ ጥያቄ የቀረበለት ማህበርተኛ የሰጠው ዋጋ ተማኙ ባለሞያ ከወሰነው ያነሰ እንደሆነ ወጪውን በከፊል ወይም በሙሉ እንዲሸፍን ፍርድ ቤቱ ሊያዘው ይችላል፡፡
በአጠቃላይ የአነስተኛ ባለአክሲዮኖች መብት መጠበቅ የማኅበሩን ህልውና መጠበቅ ነዉ፡፡ ይህም የማኅበሩን መልካም አስተዳደር የተሳካና የንግድ አላማውን ዉጤታማ ያደርገዋል፡፡ በዚህ የተነሳ አነስተኛ ባለአክስዮኖች ከሌሎች ከፍተኛ ድርሻ ካላቸው ባለአክስዮኖች፣ ከዳይሬክተሮች ቦርድ፣ ከጠቅላላ ጉባዔዉ እና በአዲተሮች አማካኝነት ከሚሰነዘሩ ያልተገቡ ጫናዎችና የመብት ጥሰቶች መጠበቂያ መንገዶች በአዲሱ የንግድ ሕግ ተደንግገዉ ይገኛሉ፡፡

የተሻረ የሰበር ውሳኔ

ከዚህ በፊት የፌደራል ጠቅላይ ፍርድ ቤት ሰበር ሰሚ ችሎት በሠ/መ/ቁ. 104858 ታሕሳስ 22 ቀን 2008 ዓ.ም. የከተማ ቦታ ማስለቀቅና የካሳ ጉዳዮች ይግባኝ ሰሚ ጉባኤ ምትክ ቦታን ጨምሮ በሌሎች በህግም ሆነ በፍሬ ነገር (ካሳን አይጨምርም) የሰጠው ውሳኔ የመጨረሻ ውሳኔ በመሆኑ በውሳኔው ላይ አቤቱታ ሊቀርብ የሚችለው በሰበር ስርአት ለከተማው ፍርድ ቤት የሰበር ችሎት ነው በማለት አዋጅ ቁጥር 721/2004 ፣ የአዲስ አበባ ለተማን ቻርተር 361/95 ፣ የመሬት ይዞታ የሚለቀቅበትና ካሳ የሚከፈልበትን ሁኔታ ለመወሰን የወጣውን አዋጅ ቁጥር 455/1997 ፣ ስለ ካሳ አወሳሰን የወጣውን የሚኒስትሮች ምክር ቤት ደንብ ቁጥር 135/1999 እንዲሁም የአዲስ አበባ ከተማ አስተዳደር ደንብ ቁጥር 3/2002ን በመተርጎም ሰጥቶት የነበረው ውሳኔ በህዝብ ጥቅም ሲባል የመሬት ይዞታ የሚለቀቅበት፣ ካሳ የሚከፈልበት እና ተነሺዎች መልሰው የሚቋቋሙበትን ሁኔታ ለመወሰን የወጣው አዋጅ ቁጥር 1161/2011አንቀፅ 20 መሰረት ተሽሮ የይግባኝ ስልጣኑ በአዲስ አበባ እና በድሬዳዋ ለፌደራል የመጀመሪያ ደረጃ ፍርድ ቤቶች ፣ በክልሎች ለክልል ከፍተኛ ፍርድ ቤት ተሰጥቷል። ( አአ ላይ ልደታ የመጀመሪያ ደረጃ ፍርድ ቤት )

የተቋረጠው የሰነዶች ማረጋገጥ ዛሬ ጀመረ
የሰነዶች ማረጋገጫና ምዝገባ አገልግሎት ከሚሰጣቸው በርካታ የአገልግሎት አይነቶች ውስጥ የማይንቀሳቀስ ንብረትን በሽያጭም ሆነ በስጦታ የማስተላለፍ ውልን የማረጋገጥ አገልግሎት ላልተወሰነ ጊዜ አቋርጦ የነበረውን አገልግሎት ከዛሬ ሰኞ ጥር 23 ቀን 2014 ዓ.ም ጀምሯል።
አገልግሎቱን ለማግኘት ከዚህ ቀደም በተለመደው አግባብ በተቋሙ አሰራር መሠረት አስፈላጊውን ቅድመ ሁኔታዎች በማሟላት እና የተቋሙን ድረ-ገጽ www.dars.gov.et በመጠቀም ተቋሙ ባዘጋጀው የኦንላይን አገልግሎት መጠየቂያ ፎርም በመሙላትና ሲስተሙ የሚሰጠውን የጉዳይ መከታተያ ቁጥር በመያዝ በተቋሙ በሁሉም ቅርንጫፍ ጽ/ቤቶች በመቅረብ አገልግሎቱን ማግኘት የሚቻል መሆኑን ተቋሙ ይፋ አድርጓል።
የሰነዶች ማረጋገጫና ምዝገባ አገልግሎት ከሚሰጣቸው በርካታ የአገልግሎት አይነቶች ውስጥ የማይንቀሳቀስ ንብረትን በሽያጭም ሆነ በስጦታ የማስተላለፍ ውልን የማረጋገጥ አገልግሎት ላልተወሰነ ጊዜ አቋርጦ የነበረውን አገልግሎት ከዛሬ ሰኞ ጥር 23 ቀን 2014 ዓ.ም ጀምሯል።
አገልግሎቱን ለማግኘት ከዚህ ቀደም በተለመደው አግባብ በተቋሙ አሰራር መሠረት አስፈላጊውን ቅድመ ሁኔታዎች በማሟላት እና የተቋሙን ድረ-ገጽ www.dars.gov.et በመጠቀም ተቋሙ ባዘጋጀው የኦንላይን አገልግሎት መጠየቂያ ፎርም በመሙላትና ሲስተሙ የሚሰጠውን የጉዳይ መከታተያ ቁጥር በመያዝ በተቋሙ በሁሉም ቅርንጫፍ ጽ/ቤቶች በመቅረብ አገልግሎቱን ማግኘት የሚቻል መሆኑን ተቋሙ ይፋ አድርጓል።

Job Summary
Free Legal Aid Officer is reporting to the Free Legal Aid Section Head and responsible for the provision of free legal aid services to the need members of the society with the guidance of his supervisor.
Specific duties and responsibilities:
Provide a free legal service in accordance with the policy and procedure outlined by EHRCO for a free legal aid services and also with the guidance of the Free Legal Aid Service of EHRCO at head office.
Receive and listen clients about the nature of their cases
meet with clients to gather information and take instructions
advise clients on the law and legal matters relating to their case
draft letters, or documents based on the client's needs
research similar cases within the archive (records) of EHRCO or from other sources to guide his/her current work
act on behalf of his/her clients as deemed necessary, and prepare cases for court as necessary
attend mediation or arbitration on behalf of the client
calculate claims for damages, compensation, and if any
Report and document on the details of free legal aid services provided including the outcome of the services
Compile lesson learned from free legal aid services
Ensure the privacy the free legal service recipient and should not disclose any facts to other parties unless the provision of the information is a legal requirement or to the benefit of the service recipient and with his consent.

የፌዴራል ጠቅላይ ፍርድ ቤት ከኢትዮጵያ ንግድ ባንክ ጋር በመተባበር የዳኝነት አገልግሎት ክፍያ አሰባሰብ ስርዓቱን አዘምኗል፡፡
ፍርድ ቤቱ ማንኛውንም የዳኝነት አገልግሎት ክፍያ በሚከፈለው ብር መጠን ሳይገድብ፣ ባለጉዳዮች ወደ ባንክ መሄድ እና ጥሬ ገንዘብ ማቅረብ ሳያስፈልጋቸው ክፍያ መፈፀም የሚችሉበት የአሰራር ማሻሻያ አድርጓል፡፡ በዚህ የክፍያ አፈጻጸም ማሻሻያ ስርዓት፡-
1ኛ. ባለጉዳዮች የባንክ የገንዘብ መክፈያ ካርድ (ATM) ከያዙ እና በባንክ ሂሳብ ቁጥራቸው ላይ በቂ ገንዘብ ካለ በፍርድ ቤቱ ገንዘብ መሰብሰቢያ ክፍል በሚገኝ ``POS`` ማሽን በመጠቀም የአገልግሎት ክፍያቸውን መፈጸም ይችላሉ፡፡
2ኛ. ባለጉዳዮች በሞባይል ስልክ መተግበሪያ (Mobile Banking) ወይም በማንኛውም ሌላ ዘዴ ተጠቅመው ወደ ጠቅላይ ፍ/ቤቱ የባንክ ሂሳብ ቁጥር 1000280500376 የሚፈለግባቸውን የዳኝነት አገልግሎት ክፍያ ገቢ ማድረግ እንደሚችሉ እና ስለመክፈላቸው በፍርድ ቤቱ የሂሳብ ክፍል (ገንዘብ ቤት) ማረጋገጥ የሚችሉበት እንደሆነም አሳውቋል፡፡
ጠቅላይ ፍድር ቤቱ ባለጉዳዮች ከላይ ተገለጹትን ዘመናዊ የአከፋፈል ስልቶች ተጠቅመው የዳኝነት አገልግሎት ክፍያ እንዲፈጽሙ የሚያበረታታ እና ቅድሚያ የሚሰጠው እንደሆነ ገልጾ፤ አሰራሩ ያልተመቻቸው ባለጉዳዮች በቀድሞው አሰራር ከ1,000.00 ብር በታች ከሆነ ብቻ በፍርድ ቤቱ ገንዘብ ቤት በመቅረብ በጥሬ ገንዘብ የአገልግሎት ክፍያ መፈጸም የሚችሉ መሆኑን ጠቁሟል፡፡
