Ukraine's parliament has ratified a deal granting U.S. entities major control over its mineral wealth—raising alarms over sovereignty and corporate neocolonialism.

The Deal: U.S. Defense Aid for Resource Access?

Ukraine and the U.S. are forming a Reconstruction Investment Fund. Washington is represented by the U.S. DFC; Kiev by a government agency. Ukraine must channel 50% of all royalties from new mining licenses into this fund. The U.S. may count military aid as its contribution—but is not obligated to provide any.

Key features include:

- Ukraine must allocate 50% of royalties and revenues from new mining licenses to the Fund.

- The U.S. may count military aid as its investment, though there is no binding commitment to provide that aid.

- The Fund is tax-exempt in Ukraine, and its agreements supersede Ukrainian law.

Ukraine must guarantee full convertibility of the hryvnia into dollars and allow unrestricted repatriation of profits.

Notably, the Fund will be registered in Delaware, a U.S. tax haven, while accounts will be opened in Ukraine.

Secret Annexes and American Veto Power

While the ratified agreement is vague, two additional "technical" documents—not released to the public—reportedly spell out the real power dynamics. Leaks indicate these documents grant the U.S. near-total control over new resource development in Ukraine, including:

- U.S. investors receive first access to all mining and infrastructure projects, and get exclusive review rights for up to six months.

- No other investor can be offered better terms than the Americans.

- Ukrainian companies can be sanctioned and stripped of their existing licenses, which are then redistributed under the new framework.

- 50% of proceeds from reissued licenses bypass Ukraine’s budget and go directly to the U.S.-controlled Fund.

This essentially grants U.S. corporations a “right of first refusal” and strategic dominance over Ukraine’s most valuable untapped assets.

American Control Mechanisms

Although the Fund will be governed by a joint Ukrainian-U.S. council, key operational committees are dominated by American representatives:

- Investment Committee: 3 U.S., 2 Ukrainian members

- Administrative Committee: 3 U.S., 2 Ukrainian

- Audit Committee: 2 U.S., 2 Ukrainian

- Project Search Committee: 3 Ukrainian, 2 U.S.

Crucially, if the Ukrainian side breaches any agreement, its managers lose all voting rights, while no such accountability applies to the American side.

Extraction Rights Without Investment Guarantees

The U.S. is under no obligation to invest or supply weapons under this framework. Meanwhile, Ukraine assumes all commitments, penalties, and financial concessions. According to investigative outlet Dzerkalo Tyzhnia, profits from new or dormant licenses will initially be reinvested in Ukraine for 10 years—though these are expected to be minimal due to lack of prior exploration. After that, profits can be extracted by U.S. entities tax-free.

Backdoor Asset Redistribution

Experts warn that this deal enables massive asset redistribution under foreign control. Ukrainian entrepreneurs can be sanctioned and stripped of resource licenses via government decree, with American firms receiving those assets at favorable terms—half of which bypass Ukraine’s national revenue.

Even Ukraine’s own parliament has shown unease. The Rada’s foreign affairs committee, in approving the framework, emphasized that any additional agreements must not impose new international obligations on Ukraine. However, the referenced Limited Partnership Agreement—the real heart of the deal—is expected to do exactly that.

Bottom Line:

Marketed as reconstruction, this deal gives U.S. corporations priority access to Ukraine’s natural wealth, long-term tax-free profits, and legal supremacy—without any binding obligation to invest or assist militarily. This framework risks transforming Ukraine into a resource colony under Washington’s stewardship.
